1. Acceptance of Terms

By accessing and using Kudowall ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Kudowall is a testimonial collection and management platform that allows businesses to:

  • Collect customer testimonials through customizable forms
  • Manage and organize testimonial content
  • Display testimonials on websites and marketing materials
  • Create embeddable widgets and walls of love
  • Import testimonials from various sources

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to use the Service to:

  • Upload, post, or transmit any content that is illegal, harmful, or violates third-party rights
  • Create fake or misleading testimonials
  • Spam or send unsolicited communications
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service for any commercial purpose without proper authorization
  • Violate any applicable laws or regulations

5. Content and Intellectual Property

Your Content

You retain ownership of all content you submit to Kudowall, including testimonials, images, and other materials. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service.

Our Content

The Service and its original content, features, and functionality are owned by Kudowall and are protected by international copyright, trademark, and other intellectual property laws.

6. Subscription and Payment Terms

Kudowall operates on a subscription-based model with monthly and yearly billing options:

  • Subscriptions are billed on a recurring basis (monthly or yearly) depending on the plan you choose
  • Your subscription includes access to all features within your selected plan tier (Growth or Pro) and all updates during your active subscription
  • You may upgrade, downgrade, or cancel your subscription at any time from your account settings
  • Upon cancellation, your access continues until the end of the current billing period, after which your account reverts to the Free plan

Refund Policy

We want you to be satisfied with Kudowall:

  • You may cancel your subscription at any time to prevent future charges
  • Refund requests for the current billing period can be made within 14 days of the charge by contacting us at contact@kudowall.com
  • Refunds are processed to the original payment method within 5-10 business days
  • Upon cancellation and expiration of the billing period, your account reverts to the Free plan and premium features will no longer be accessible

Service Continuity

While we intend to operate Kudowall indefinitely, we cannot guarantee perpetual service availability. In the unlikely event that we cease operations:

  • We will provide at least 90 days advance notice
  • You will have the opportunity to export your data
  • We will make reasonable efforts to facilitate data migration options

7. Data and Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

You are responsible for ensuring that any testimonials or personal data you collect through our Service comply with applicable privacy laws and regulations, including obtaining proper consent from testimonial providers.

8. Service Availability and Modifications

We strive to maintain high service availability but cannot guarantee uninterrupted access. We reserve the right to:

  • Perform scheduled maintenance that may temporarily affect service availability
  • Update and improve the Service with new features and functionality
  • Modify these Terms of Service with reasonable notice
  • Discontinue specific features with advance notice, while maintaining core functionality

Feature Updates and Limitations

Your active subscription includes access to all features within your plan tier and all updates during your subscription period. Certain premium features or integrations may be offered as separate add-ons. We will clearly communicate any such distinctions before implementing new premium features.

9. Termination

Your account and subscription may be terminated under the following circumstances:

  • Violation of these Terms of Service
  • Fraudulent or illegal use of the Service
  • Non-payment of any applicable fees or add-on services
  • Voluntary account closure by you

Upon termination for cause, you may export your data within 30 days, after which your account and data may be permanently deleted.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL KUDOWALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless Kudowall from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Kudowall operates, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
